General Terms
1. Acceptance
By accessing transferon-hub.digital or engaging Transferon Hub for consulting or activation services, you agree to these General Terms. If you represent an organization, you confirm you have authority to bind that organization. Continued use after updates constitutes acceptance of the revised terms.
2. Services description
Transferon Hub provides trade activation consulting, corridor workflow design, reporting packs, and related workshops as described in signed statements of work. Deliverables may include documents, dashboards, workshop facilitation, and coordination artifacts. Unless expressly stated, services exclude retailer negotiation on your behalf and exclude permanent electrical or structural installation beyond merchandising scopes.
3. Client responsibilities
You agree to supply accurate briefs, timely approvals, lawful artwork, credentials for agreed tools, and safe access for on-site personnel. You maintain backups of data you upload and confirm that distributor or retailer data shared with us is permitted under your agreements. You must not misuse shared portals to distribute malware or harvest unauthorized personal data.
4. Intellectual property
Transferon Hub retains ownership of pre-existing methodologies, templates, and frameworks. Upon payment, you receive a non-exclusive license to use bespoke deliverables created for you for internal activation purposes unless otherwise stated. Brand assets you supply remain yours. Either party may showcase anonymized case excerpts with prior notice unless confidentiality agreements forbid it.
5. Confidentiality
Both parties protect non-public information shared during engagements using reasonable measures. Confidentiality obligations survive termination for three years except where longer periods are mandated by law or separate NDAs. Aggregate insights stripped of identifiers may be used to improve internal playbooks.
6. Liability limits
To the fullest extent permitted under Republic of Korea law, Transferon Hub is not liable for indirect, incidental, or consequential losses including lost profits unless caused by wilful misconduct. Aggregate liability for any claim relating to a twelve-month period is capped at fees paid for the specific engagement giving rise to the claim. Nothing excludes liability for death or personal injury caused by negligence where such exclusion is unlawful.
7. Governing law and venue
These terms are governed by the laws of the Republic of Korea without regard to conflict-of-law principles. Courts located in Seoul shall have exclusive jurisdiction for disputes arising from these terms unless mandatory consumer protections assign jurisdiction elsewhere for qualifying individuals.
8. Termination and suspension
Either party may terminate an engagement for material breach after written cure periods described in the relevant statement of work. Transferon Hub may suspend services if fees are overdue beyond agreed grace periods or if cooperation materially stops. Sections on confidentiality, intellectual property, liability, and governing law survive termination.
9. Modifications
We may update these General Terms to reflect operational or regulatory shifts. Material updates receive notice via the website or email when possible. Continued use thirty days after posting constitutes acceptance unless applicable law requires explicit consent.
